Meeting Notice — Saturday, March 23, 2019

Meeting Summary: A regular meeting of the Board was held on Sunday, March 23, 2019. Attending the meeting in person and by teleconference were: President Bruce Wilson, Secretary Debbie Director, Treasurer Helen Hoart, ARC Head Paul Salditt, and Vice President Louisa Hollman.

President Bruce Wilson summarized the details involving the construction of a fence that resulted in a covenant violation at 57 Ocean Drive.  The Board then discussed privileged and confidential information provided by the Board’s legal counsel and about the Board’s possible response to the covenant violation.

The next item of business, President Wilson presented details of engaging a part-time consultant to assist with organizational and administrative support to improve the operation of the North Shores office. Additional information was presented as a follow-up to the March 11, 2019 meeting discussion.  Details included the cost and timelines of the proposed consulting agreement as well as the specific target areas to be assessed and supported.  After discussion, the Board approved a proposal to retain a consultant for a trial period of two months, involving coaching/organizational training and a written assessment report at the end of May.

Louisa Hollman left the meeting, and the Board engaged in a discussion about the candidates that had indicated they wished run for the two board positions in the 2019 election at the Annual Meeting in May.  The discussion included a focus on the qualifications of the candidates, specific expertise that each could contribute to managing the current and future needs of North Shores, as well as the ability for future board members to work cooperatively with the existing Board, based on the Board members’ specific experience in working with each of the candidates.     The Board considered carefully the qualifications of each of the candidates and after discussion concluded that Louisa Hollman and Evan Thalenberg were the most qualified candidates — particularly in light of their directly relevant professional qualifications and the positive experiences of other Board members working through difficult neighborhood issues with each of them.

The Board then turned to the question whether to endorse particular candidates in the event that all three candidates sought to pursue election. After extensive discussion, the Board concluded that endorsement was appropriate in the unusual circumstances presented, and resolved to endorse candidates Hollman and Thalenberg on the basis of their superior skills and the Board’s positive experiences in working with each of them as outlined above.
